Session Terms of Service

Effective upon purchase
By purchasing a Strategy Session, Sanity Session, or 17hats Power Hour, you ("Client") agree to the following Terms of Service with Simplify, Simplify LLC ("Consultant").
1. Scope of Services
Your purchase includes the following based on the session type booked:
Strategy Session
One 60-minute Strategy Session conducted via Google Meet.
A separate, recorded Website Audit.
Any relevant notes, templates, or handouts as determined by Consultant.
Sanity Session
One 60-minute Sanity Session conducted via Google Meet.
Any relevant notes, templates, or handouts as determined by Consultant.
17hats Power Hour
One 60-minute session conducted via Google Meet.
A filled-in session workbook with notes, what we changed, and your next steps.
The session recording.
The Website Audit is included exclusively with the Strategy Session and is not available with any other session type. No additional services are included beyond the deliverables listed above for each session type.
2. Responsibilities
Consultant Responsibilities.
Clearly communicate all session details and any information required from Client.
Provide access to session recordings and materials post-call, if applicable.
Be available via email for scheduling and basic communication related to the session.
Client Responsibilities.
Complete all pre-session forms or questionnaires in a timely manner.
Schedule the session within the Consultant's available calendar.
Provide relevant access or information needed for an effective session.
Make their own decisions based on session outcomes. Consultant is not liable for Client's choices or actions after the session.
3. Scheduling & Cancellations
Reschedules require a minimum of 24 hours' notice. Cancellations or reschedule requests made with less than 24 hours' notice will forfeit the session with no refund or credit issued.
No-shows will automatically forfeit the session with no refund or credit issued.
Sessions must be completed within 60 days of purchase unless otherwise agreed in writing.
4. Payment Terms
Full payment is due at the time of booking.
No refunds will be issued once payment is made, except as required by applicable law.
If Client is on a payment plan, payments must be kept current to retain access to the session and any associated materials.
5. Confidentiality
Both Parties agree to maintain confidentiality regarding any proprietary or sensitive business, personal, or financial information disclosed during the engagement.
This includes but is not limited to:
Consultant's intellectual property, frameworks, templates, or materials.
Client's business information, strategies, and private data.
Confidentiality obligations survive for three (3) years beyond the session date. Consultant may anonymize and share hypothetical versions of sessions for internal training purposes only.
6. Intellectual Property
All materials shared by Consultant are for Client's personal or internal business use only. They may not be copied, distributed, or repurposed for sale, public use, or to create competing offers without prior written permission from Consultant.
7. Limitation of Liability
Consultant's services are advisory in nature. Client assumes full responsibility for implementing any strategies discussed. Consultant is not liable for any outcomes, financial or otherwise, resulting from Client's decisions or actions following the session. In no event shall Consultant's total liability exceed the amount paid by Client for the session.
8. Force Majeure
Consultant is not liable for delays or cancellations due to circumstances beyond our control, including natural disasters, illness, pandemics, or technical outages. In such cases, Consultant will make reasonable efforts to reschedule the session.
9. Governing Law
This agreement is governed by the laws of the Commonwealth of Massachusetts. Any disputes arising from this agreement shall be resolved in the appropriate courts of Worcester County, Massachusetts. By purchasing this session, you agree to these terms and waive any conflicting terms found elsewhere.
